Agreement to Terms
Welcome to LineShop. By accessing or using our stock management platform, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access or use LineShop.
1. Service Description
1.1 Platform Overview
LineShop is a comprehensive stock management solution designed for retail businesses, shops, pharmacies, supermarkets, and various commercial establishments. The platform provides:
- Inventory management and stock tracking
- Point of Sale (POS) capabilities
- Sales and purchase management
- Customer relationship management (CRM)
- AI-powered business insights and virtual manager
- WhatsApp-based customer interaction and OTP authentication
- Advanced reporting and analytics
- Multi-branch support for growing businesses
1.2 Service Availability
We strive to provide 99.9% uptime. However, we do not guarantee uninterrupted access and may perform scheduled maintenance. We will provide advance notice for planned maintenance when possible.
2. Account Registration and Use
2.1 Eligibility
- You must be at least 18 years old to use LineShop
- You must represent a legitimate retail or commercial business
- You must have legal authority to bind your business to these terms
- Your business must comply with all applicable Tanzania business and tax regulations
2.2 Account Security
- You are responsible for maintaining the confidentiality of your WhatsApp number used for authentication
- You must notify us immediately of any unauthorized access to your account
- You are liable for all activities that occur under your account
- You agree not to share your account credentials with unauthorized parties
2.3 Account Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms and Conditions
- Your account is used for fraudulent or illegal activities
- Payment obligations are not met
- You provide false or misleading information
3. Pricing and Payment
3.1 Subscription Plans
LineShop offers various subscription tiers based on features and number of branches:
- Free Trial: Limited features for evaluation (14 days)
- Basic Plan: Single-branch operations
- Professional Plan: Multi-branch support with advanced features
- Enterprise Plan: Unlimited branches with full AI capabilities
3.2 Payment Terms
- Subscriptions are billed monthly or annually in advance
- All fees are in Tanzania Shillings (TZS) unless otherwise stated
- Payments are processed through secure third-party payment gateways
- Failure to pay may result in service suspension or termination
3.3 Refund Policy
- Monthly subscriptions: No refunds for partial months
- Annual subscriptions: Pro-rated refunds within first 30 days
- Technical issues: Full refund if service is unavailable for more than 48 consecutive hours
4. User Responsibilities
4.1 Lawful Use
You agree to:
- Use LineShop only for lawful business purposes
- Comply with all applicable Tanzania business and trade regulations
- Maintain accurate business and inventory records
- Not use the platform to conduct illegal business activities
- Respect intellectual property rights
4.2 Prohibited Activities
You must NOT:
- Attempt to reverse engineer, decompile, or hack the platform
- Use automated bots or scripts to access the service
- Upload malicious code or viruses
- Interfere with other users' access to the platform
- Resell or redistribute the platform without authorization
- Violate any applicable laws or regulations
4.3 Data Accuracy
- You are responsible for the accuracy of data you enter into the system
- Product information, pricing, and inventory levels must be current and accurate
- You must regularly backup your critical business data
5. Data Security and Privacy
Your use of LineShop is also governed by our Privacy Policy, which explains how we collect, use, and protect your data in compliance with the Tanzania Data Protection Act, 2022.
6. Intellectual Property
6.1 Our Rights
- LineShop platform, software, design, and content are owned by us or our licensors
- All trademarks, logos, and service marks are our property
- You receive a limited, non-exclusive, non-transferable license to use the platform
6.2 Your Data
- You retain ownership of all data you input into LineShop
- You grant us a license to process your data to provide our services
- You can export your data at any time
7. Disclaimers and Limitations
7.1 Service "As Is"
LineShop is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:
- The service will be error-free or uninterrupted
- Defects will be corrected immediately
- The platform will meet all your business requirements
7.2 Limitation of Liability
To the maximum extent permitted by Tanzania law:
- We shall not be liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount you paid in the last 12 months
- We are not responsible for business losses resulting from platform downtime
- You are solely responsible for regulatory compliance of your business operations
7.3 AI and Automated Features
- AI-powered insights and recommendations are provided for informational purposes only
- You remain solely responsible for all business decisions
- AI features may contain errors or inaccuracies; verify critical information
- Virtual manager features are assistive tools, not replacements for professional judgment
8. Indemnification
You agree to indemnify and hold harmless LineShop, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the platform
- Violation of these Terms and Conditions
- Infringement of any third-party rights
- Your business operations and regulatory compliance
9. Governing Law and Dispute Resolution
9.1 Applicable Law
These Terms and Conditions are governed by the laws of the United Republic of Tanzania.
9.2 Dispute Resolution
In the event of any dispute:
- Parties shall first attempt to resolve through good-faith negotiation
- If unresolved within 30 days, disputes may be submitted to arbitration
- Arbitration shall be conducted in Dar es Salaam, Tanzania
- Court proceedings may be initiated in Tanzania courts as a last resort
10. Changes to Terms
We may modify these Terms and Conditions at any time. When we make changes:
- We will update the "Last Updated" date at the top of this page
- For material changes, we will notify you via email or platform notification
- Your continued use after changes constitutes acceptance
- If you disagree with changes, you may terminate your account
11. Miscellaneous
11.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LineShop.
11.2 Severability
If any provision is found unenforceable, the remaining provisions shall continue in full force.
11.3 Waiver
Our failure to enforce any right does not constitute a waiver of that right.
11.4 Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations at any time.
